Source Code Escrow

Source code escrow is the insurance policy of custom and licensed software: a trusted third party holds the vendor's source code and build materials, releasing them to you only on defined trigger events — vendor insolvency, abandonment, support failure. It is how buyers of software whose failure would hurt them keep the lights on when the maker disappears.

What It Is

In a source code escrow arrangement, the software vendor deposits source code, documentation and build instructions with an independent escrow agent. The deposit is updated with each release. Release to the licensee occurs only on contractually defined trigger events — typically vendor bankruptcy, cessation of business, failure to meet support obligations, or termination of the product line. Standard arrangements vary in verification depth: from a simple deposit (unverified — the box may be empty or unbuildable) through compilation verification (it builds) to full verification (releases reconstruct from the deposit alone). Escrow is negotiated as part of the licence, with fees typically shared.

Why It Matters to You

Escrow converts an unbounded risk — your critical system's maker vanishes — into a bounded, managed one. But its value collapses on two common failures. First, unverified deposits: an escrow of stale or incomplete code delivers a legal right to rubble. Second, unrealistic triggers: a release clause that requires vendor insolvency is worthless when the real scenario is slow abandonment — the vendor still answers emails but stopped updating the product years ago. Negotiate verification (at least build-verified, per major release) and triggers that include support-failure and product-discontinuation, not just death. And remember what escrow is not: it is a continuity floor, not a business — you inherit maintenance of an orphaned codebase.

When You'll Meet It

When licensing business-critical software from small vendors, and in any custom build where you don't receive the source. Your counsel and your CTO should jointly own the trigger and verification language.
